Announcement of the search of independent board members to the Board of „Lietuvos oro uostai“

We are launching the search process for the Board of „Lietuvos oro uostai“. Four independent board members are invited to join the Board for the new term. We invite interested candidates to review the requirements and submit their applications by 4 June 2026 (inclusive). Joint-stock company Lithuanian Airports (hereinafter – the Company) brings together and manages the airports of Vilnius, Kaunas, and Palanga, coordinates their development, ensures a wide range of aviation and non-aviation services, and maintains a high standard of service quality for passengers and partners. The Company’s activities are guided by its mission to build sustainable partnerships, its vision to contribute to faster national economic growth, and its core values of responsibility, determination, leadership, and the creation of high-quality experiences.

The Company’s collegial management body – the Board – consists of 5 members, including 4 independent board members and 1 civil servant. The term of office of the Board is 4 years.

Selection Procedure

The objective of the selection process is to identify the most suitable candidates for the positions of independent members of the Company’s Board.

The selection process is initiated by the Ministry of Transport and Communications of the Republic of Lithuania. Executive search agency UAB Master Class LT participates in the recruitment process.

The selection will be carried out by a selection committee formed by order of the Minister of Transport and Communications of the Republic of Lithuania, consisting of:

  • one representative proposed by the Prime Minister,
  • one representative proposed by the Minister of Transport and Communications,
  • one representative proposed by the Minister of the Economy and Innovation,
  • one representative proposed by the Minister of Finance,
  • and one representative of the Governance Coordination Centre (hereinafter – the Selection Committee).

Selection method: interview with candidates invited by the Selection Committee.

General, Special, and Independence Requirements

Candidates applying for the position of independent member of the Company’s Board must meet the established general, special, and independence requirements.

The general and independence requirements will apply throughout the entire term of office of the selected independent board members.

General Requirements

Candidates must:

  • hold a university degree or an equivalent higher education qualification;
  • have an impeccable reputation;
  • not be related to other natural or legal persons by ties that could create a conflict of interest while serving on the collegial body;
  • not have been deprived of or restricted from holding the relevant position or performing its functions;
  • not have been removed during the past 5 years from a sole or collegial management body due to improper performance of duties;
  • not be a career civil servant in a ministry, government agency, or institution under a ministry with functions related to policy-making in the sector in which the Company operates;
  • not be an elected politician or political (personal) appointee civil servant.

Special Requirements

Candidates must:

  • have English language proficiency of at least B2 level;
  • possess competence in one of the following areas:
1. Strategic Planning and Aviation

Confirmed by:

  • at least 5 years of senior management experience within the last 10 years in the civil aviation sector;
  • knowledge and experience in strategic planning, analysis, control, and supervision;
  • understanding of the civil aviation ecosystem;
  • knowledge of national and regional strategic civil aviation objectives;
  • understanding of civil aviation regulatory principles.

Advantages:

  • experience in digital transformation, data analytics, or AI initiatives;
  • sustainability policy knowledge and/or practical implementation experience;
  • experience in innovation management, organisational development, and change management;
  • experience serving on collegial supervisory or management bodies;
  • strong leadership and stakeholder collaboration skills;
  • understanding of corporate governance principles.
2. Project Management

Confirmed by:

  • at least 5 years of senior management experience within the last 10 years;
  • experience managing complex projects and applying project management methodologies;
  • experience ensuring sustainable company value growth and shareholder returns.

Advantages:

  • experience in transport infrastructure design, supervision, or construction;
  • ability to evaluate project portfolio management effectiveness and strategic alignment;
  • sustainability policy knowledge and practical experience;
  • understanding of corporate legal regulation;
  • board or supervisory experience;
  • strong leadership and stakeholder collaboration skills;
  • understanding of corporate governance principles.
3. Finance and Audit

Confirmed by:

  • at least 5 years of senior management experience within the last 10 years in finance, risk management, financial advisory, financial services, or audit within a large company.

Advantages:

  • ability to develop long-term financial and/or risk strategies;
  • experience in internal control and risk management;
  • knowledge and experience in financial planning, analysis, control, and supervision;
  • experience in investment project evaluation and financing;
  • experience in value creation, change management, and operational risk management;
  • knowledge of the legal framework governing state-owned enterprises;
  • board or supervisory experience;
  • strong leadership and stakeholder collaboration skills;
  • understanding of corporate governance and management principles.
4. Security and Risk Management

Confirmed by:

  • at least 5 years of senior management experience within the last 10 years in risk management and implementation or optimisation of risk management processes.

Advantages:

  • ability to develop long-term financial strategies;
  • experience ensuring internal control and operational risk management;
  • strategic analytical skills in assessing geopolitical developments in Europe and globally;
  • experience identifying and managing information security risks;
  • board or supervisory experience;
  • strong leadership and stakeholder collaboration skills;
  • understanding of corporate governance principles.

Independence Requirements

Candidates must satisfy independence criteria, including but not limited to:

  • no employment or civil service relationship with the Company or related entities during the previous year;
  • no recent management, board, employee, or shareholder relationship with the Company or related entities;
  • no close family ties with significant shareholders or management;
  • no significant business relationships with the Company or related entities;
  • no recent employment with the Company’s external auditor;
  • not having served on the Company’s collegial bodies for more than 10 years;
  • not being a member of more than 3 collegial bodies of state- or municipality-controlled enterprises in total.

Candidates must submit:

  1. Application form and declaration of integrity (Annex 1);
  2. Consent for the processing of personal data (Annex 2);
  3. Curriculum Vitae (CV);
  4. Copy of an identity document;
  5. Motivation letter in Lithuanian (free form);
  6. Copies of higher education diplomas;
  7. Other documents proving compliance with the general, special, and independence requirements.

The Selection Committee and/or representatives of UAB Master Class LT may request additional supporting documents.
