Vilnius City Municipality Administration announces the selection of independent members of the Board of Directors of the private limited liability company Vilniaus Vystymo Kompanija!

UAB “Vilniaus vystymo kompanija” is one of the oldest companies owned by the Vilnius City Municipality, which has been providing design and construction management services for the municipality’s public education, pre-school education, social services, sports, culture, tourism, health care and public space facilities for several decades.

The Board of Directors is appointed for 4 years. Number of Board members: 5.

The newly formed Board will be composed of independent Board members with the following competences:

1. Corporate governance and strategic planning;
2. Industries (real estate development and management) ;
3. Financial management.

MANDATORY ASSESSMENT:

Thegeneral requirements and criteria for independence are set out in the Law of the Republic of Lithuania on Management, Use and Disposal of State and Municipal Property 23⁽¹⁾ (5) and (7).

Specific requirements by competency:

1. Corporate governance and strategic planning competences:

• at least 3 years’ experience in a managerial role (as head of a company, or as a senior manager reporting directly to the head of a company), in a company of similar size or larger;
• knowledge and experience in the management, control and supervision of corporate activities;
• experience in business strategy formulation and implementation
• knowledge of corporate governance principles and knowledge and experience of good corporate governance.

2. Industries (real estate project development and management):

• at least 3 years’ experience in a managerial role (as a company manager, or as a senior manager reporting directly to the company manager) (experience of developing and managing real estate projects in operating companies);
• knowledge of corporate governance, control or supervision;
• experience in real estate project management.

3. Financial management responsibilities:

• at least 3 years’ experience in a senior management role (as a company manager, or as a senior manager reporting directly to the company manager) in financial management, consulting, financial services, auditing.

THE FOLLOWING STRENGTHS ARE ALSO ASSESSED:

1. Corporate governance and strategic planning competences:

• excellent leadership, teamwork and stakeholder engagement skills;
• communicative, with the ability to express ideas clearly and present structured information.

2. Branches of the economy (infrastructure maintenance):

• Experience in strategic planning, implementing strategic objectives and driving corporate value

3. Financial management responsibilities:

• experience in meeting strategic objectives and increasing corporate value;
• Experience in evaluating and financing investment projects;
• experience in corporate performance, financial management, internal control or risk management;
• knowledge of corporate governance principles and knowledge and experience of good corporate governance;
• excellent leadership, teamwork and stakeholder engagement skills;
• communicative, with the ability to express ideas clearly and present structured information.
