Vilnius City Municipality announces the selection of independent members of the Board of Grinda UAB

Vilnius City Municipality Administration announces the selection of independent members of the Board of Grinda, a private limited liability company!

Grinda UAB is a company established by Vilnius City Municipality to provide urban management services.

The Board of Directors is appointed for 4 years. The Board consists of 5 members in total.

The newly formed Board will be composed of three independent Board members with the following competences:

  1. Corporate governance and strategic planning;
  2. Branches of the economy (infrastructure maintenance);
  3. Financial management.
Requirements:

Thegeneral requirements and criteria for independence are set out in the Law of the Republic of Lithuania on Management, Use and Disposal of State and Municipal Property 23(1) (5) and (7).

 

Specific requirements by competency:

1. Corporate governance and strategic planning competences:

  • at least 5 years’ experience in a managerial role (as head of a company, or as a senior manager reporting directly to the head of a company), in a company of similar size or larger;
  • knowledge and experience in the management, control and supervision of corporate activities;
  • experience in business strategy formulation and implementation
  • knowledge of corporate governance principles and knowledge and experience of good corporate governance.

2. Branches of the economy (infrastructure maintenance):

  • at least 5 years’ experience in a managerial role (as head of a company, or as a senior manager reporting directly to the head of a company) in a company operating in a similar sector;
  • Experience in managing, evaluating and/or financing infrastructure projects.

3. Financial management responsibilities:

  • at least 5 years’ experience in a senior management role (as a company manager, or as a senior manager reporting directly to the company manager) in financial management, consulting, financial services, auditing.

THE FOLLOWING STRENGTHS ARE ALSO ASSESSED:

1. Corporate governance and strategic planning competences:

  • excellent leadership, teamwork and stakeholder engagement skills;
  • communicative, with the ability to express ideas clearly and present structured information.

2. Branches of the economy (infrastructure maintenance):

  • Experience in strategic planning, implementing strategic objectives and driving corporate value
  • knowledge of corporate governance principles and knowledge and experience of good corporate governance;
  • excellent leadership, teamwork and stakeholder engagement skills;
  • communicative, with the ability to express ideas clearly and present structured information.

3. Financial management responsibilities:

  • experience in meeting strategic objectives and increasing corporate value;
  • Experience in evaluating and financing investment projects;
  • experience in corporate performance, financial management, internal control or risk management;
  • knowledge of corporate governance principles and knowledge and experience of good corporate governance;
  • excellent leadership, teamwork and stakeholder engagement skills;
  • communicative, with the ability to express ideas clearly and present structured information.
